Regulatory Status
Equity Check LLC is a capital aggregation and alternative investment intermediary based in Asheville, North Carolina. Equity Check is not a registered broker-dealer, investment adviser, or financial planner with the SEC, FINRA, or any state regulatory authority.
We do not provide investment advice, manage investment portfolios, or make investment recommendations. We source, evaluate, and present private investment opportunities from third-party sponsors to qualified accredited investors. The decision to invest, and the responsibility for that decision, rests entirely with the investor.
Compensation and Conflicts of Interest
Transparency about how we are compensated is foundational to how we operate. You deserve to know exactly how our interests align with yours, and where potential conflicts exist.
How Equity Check is Compensated
Equity Check's compensation is structured to align our interests with investor outcomes. Our revenue model is based on negotiated positioning within the capital stack of each investment, typically through a special purpose vehicle (SPV) structure with equity participation in the deal.
This means our compensation is predominantly tied to investment performance. We benefit when the investment performs well and investors achieve favorable returns. We do not charge investors placement fees, advisory fees, or management fees.
Potential Conflicts of Interest
We believe the best way to manage conflicts is to disclose them plainly and structure compensation so that we do well only when investors do well. No structure eliminates all conflicts. Ours is designed to minimize them.
- Equity Participation. Because Equity Check holds equity positions in the investments it sources, we have a financial interest in the success of those investments. While this creates alignment with investors, it also means our evaluation of an opportunity is not disinterested.
- Sponsor Relationships. Equity Check maintains ongoing relationships with the sponsors whose offerings it presents. These relationships may create an incentive to continue presenting offerings from existing sponsor partners. We mitigate this by evaluating each deal independently and declining opportunities that do not meet our criteria, regardless of the sponsor relationship.
- Co-Investment. Where the founder or members of Equity Check co-invest alongside investors, this creates alignment but also means Equity Check personnel have a personal financial interest in the investment outcome.
